Terms of Service

1. The agreement

These Terms of Service ("Terms") form a binding agreement between you and the operator of Game Nite™ ("Game Nite", "we", "us", or "our"), an independent service based in California, United States. By creating an account or otherwise using gamenite.ai or any related apps and APIs (the "Service"), you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service. The legal entity operating Game Nite, and a postal address for service of legal process, will be provided on request to legal@gamenite.ai.

2. The Service

Game Nite provides tools to log board and card games, manage leagues and competitions, view analytics, and receive AI-assisted coaching insights. We may add, change, suspend, or discontinue features at any time. We try to give reasonable notice when a change is material, but we are not obligated to do so for routine product changes.

3. Your account

• You must be at least 13 years old to create an account. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or guardian.
• You are responsible for the accuracy of the registration information you provide and for keeping your password secure.
• You are responsible for all activity that occurs under your account.
• You must notify us promptly at support@gamenite.ai if you suspect unauthorized use of your account.
• We may suspend or terminate accounts that violate these Terms or that create risk for other users or for the Service.

4. Subscriptions, trials & billing

Game Nite offers a free tier and paid Premium tiers (monthly or annual). Pricing, features, trial length, and renewal terms are described on the Pricing page and at checkout.

• Trials: When offered, your free trial converts to a paid subscription on the date shown at checkout unless you cancel before then. Trials are limited to one per account.
• Renewal: Paid subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until you cancel.
• Cancellation: You can cancel anytime from Settings → Billing (or by emailing billing@gamenite.ai). Cancellation stops future renewals; you keep Premium access until the end of the current billing period.
• Price changes: If we change pricing, the new price will apply to renewals after at least 30 days' notice (sent to your account email or shown in-app).
• Taxes: Prices are exclusive of any applicable taxes, which may be added at checkout based on your billing location.
• Payment processor: All payments are processed by Stripe. By subscribing you also agree to Stripe's terms. We do not store your card number.

5. Refund policy

The detailed policy:

• 14-day money-back guarantee (new subscribers): You can request a full refund of your first paid subscription period (monthly or annual) within 14 days of the initial charge, no questions asked.
• Annual plan refunds after 14 days: If you cancel an annual plan after the first 14 days but more than 30 days remain in the billing period, we may issue a prorated refund of the unused portion. Contact billing@gamenite.ai with your reason; refunds in this window are at our reasonable discretion.
• Monthly plan refunds after 14 days: Generally not refundable; cancel anytime to stop the next renewal.
• Free trials: If you cancel during your free trial you will not be charged. If you forget to cancel and are charged at the end of the trial, the 14-day refund window above applies.
• Service outages: If you experience a significant Service outage attributable to us, contact us — we may extend your billing period or issue a credit at our discretion.
• How to request a refund: Email billing@gamenite.ai from the address on your account with your account email and the date of charge. We aim to respond within 2 business days and refund within 5 business days.
• Statutory rights: Nothing in this policy limits any non-waivable rights you have under your local consumer protection law.

6. Acceptable use

When using the Service you agree not to:

• Violate any applicable law, infringe the rights of others, or use the Service to harass, defame, or harm anyone.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its underlying systems.
• Scrape, crawl, or use automated tools to access the Service in a way that materially impacts other users or violates our published API/rate limits.
• Upload malware, malicious code, or content you do not have the right to share.
• Impersonate another person or misrepresent your affiliation with anyone.
• Resell the Service or use it to provide a competing service without our written permission.

We reserve the right to suspend or terminate accounts that violate these rules.

7. Your content & license to us

You retain ownership of the content you submit to the Service (game logs, scores, league names, profile information, feedback, screenshots, etc. — your "Content"). You are responsible for your Content and for ensuring you have the right to share it.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create technical derivatives of your Content solely as necessary to operate, secure, and improve the Service for you and the people you share with (such as fellow league members). We may use aggregated or de-identified data (data that no longer identifies you or any individual) for any lawful purpose, including improving our analytics and AI models.

8. AI-assisted features & coaching disclaimer

Game Nite includes features powered by artificial intelligence and machine learning, including coaching insights, recommendations, photo-based score entry, and analytics. These features are provided for informational and entertainment purposes only.

• AI outputs may be incomplete, inaccurate, or inconsistent. Recommendations are not guaranteed to improve your win rate, accuracy, or any other outcome.
• Coaching insights are based on the data you provide and on statistical patterns; they are not professional advice and should not be relied upon as such for any consequential decision (including, but not limited to, decisions involving wagering, competition entry, or strategic play in tournaments).
• You should verify any data, score, or recommendation before relying on it.
• We may use anonymized inputs to evaluate and improve the AI features. We do not send your account identifiers to AI providers.
• AI features may be limited by plan tier, by feature flag, or by availability of the underlying provider, and we may modify or remove them at any time.

9. Third-party game names & trademarks

Game Nite is an independent product and is not affiliated with, endorsed by, sponsored by, or licensed by the publishers of any board or card games supported by the Service. Game names referenced in the Service are trademarks of their respective owners and are used for nominative reference only (to identify the game your scores belong to). We do not reproduce publisher logos, box art, board art, card faces, or rulebook content.

10. Our intellectual property

The Game Nite name, logo, designs, software, and all original content (other than your Content and third-party trademarks identified above) are owned by us and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, sell, or create derivative works of the Service without our prior written permission, except as expressly permitted by these Terms or by law (e.g. fair use). "Game Nite™" is an unregistered common-law trademark.

11. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, secure, or error-free. We do not warrant that any analytics, statistics, recommendations, or AI outputs will be accurate or fit for your purposes.

12. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Game Nite or its operator, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our aggregate liability for all claims relating to the Service in any 12-month period will not exceed the greater of (a) USD $100 or (b) the amounts you paid us for the Service in that 12-month period. Some jurisdictions do not allow these limits, so they may not apply to you in full.

13. Indemnification

You agree to indemnify and hold harmless Game Nite and its operator from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your Content, or (c) your violation of any third-party right, including intellectual property or privacy rights.

14. Termination

You may stop using the Service at any time and delete your account from Settings → Privacy & Data. We may suspend or terminate your access for material breach of these Terms, suspected abuse, security risk, or as required by law. We may also discontinue the Service entirely with reasonable advance notice. Sections that by their nature should survive termination (including 7, 8, 9, 10, 11, 12, 13, 16, and 17) will survive.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will reflect the most recent revision. For material changes we will provide additional notice (such as in-app banner or email) at least 14 days before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not agree, you must stop using the Service and may delete your account.

16. Governing law & disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Subject to the next paragraph, you and Game Nite agree that the state and federal courts located in San Francisco County, California have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@gamenite.ai. We will try to resolve disputes informally within 60 days. Nothing in this section limits your right to pursue claims in small-claims court or to seek injunctive relief in any court of competent jurisdiction.

17. Miscellaneous

• Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Game Nite about the Service.
• Severability: If any provision is found unenforceable, the remaining provisions stay in effect.
• No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: We may give notices to you by email to the address on your account or by in-app notification.
• No agency: Nothing in these Terms creates an agency, partnership, employment, or franchise relationship.
